Terms and Conditions

The primary agreement governing access to and use of the Diversified Check Studio website, software, licensing, and related services.

1. Agreement

These Terms and Conditions form a binding agreement between Diversified Check Studio, a division of Diversified Global LLC, managed by Diversified Company, a wholly owned subsidiary of Diversified Universal LLC, and the person or entity accessing or using the Services.

"Customer," "you," and "your" refer to the person, business, or other legal entity that establishes an account and, where applicable, the authorized individual acting for that entity.

"User" means any person authorized to access the Services through a Customer account.

"Business" means a business, organization, or individual profile created within an account that requires a Business License to use licensed functionality.

"Services" means the Diversified Check Studio website, check printing software, check designer, templates, layouts, MICR generation, printing tools, reports, files, support, and related offerings.

By creating an account, selecting an acceptance checkbox, purchasing a license or add-on, or using the Services, you agree to these Terms.

The individual accepting these Terms for an organization represents that they have authority to bind that organization.

2. United States Service

Diversified Check Studio is designed for United States check printing.

The Services are not offered for international check clearing, foreign banking compliance, or check formats outside United States banking conventions.

Customers are responsible for confirming that the Services are appropriate for each jurisdiction and financial institution involved.

3. Nature of the Services

Diversified Check Studio provides check printing software, check design tools, template and layout management, MICR line composition, calibration tools, print output, records, and support included in the Customer's license or separately purchased.

Diversified Check Studio is not:

  • A bank
  • A financial institution
  • A money transmitter
  • A payment processor for Customer checks
  • A fiduciary
  • A lender
  • A check printing bureau acting on the Customer's behalf
  • The Customer's attorney
  • The Customer's accountant
  • The Customer's tax adviser

The Services do not replace professional legal, accounting, tax, or banking advice.

4. Check Printing Model

The Services generate printable check documents using information provided by the Customer. The Customer prints those documents using its own printer, its own supplies, and its own blank check stock.

Diversified Check Studio does not:

  • Move, hold, receive, debit, transmit, or distribute funds
  • Print, mail, or deliver checks on the Customer's behalf
  • Submit checks or payment instructions to a financial institution
  • Verify ownership, status, or standing of any bank account
  • Confirm the availability of funds
  • Guarantee that a financial institution will accept a printed check
  • Control clearing, presentment, holds, returns, reversals, or stop payments
  • Recall, reverse, stop, or correct a check after the Customer issues it

Routing number validation checks format, checksum logic, and reference directory information only. Routing directory information is provided for convenience, may be incomplete or outdated, and does not confirm account ownership, account status, or acceptance by any financial institution.

5. Customer Responsibilities

The Customer is responsible for:

  • Providing complete and accurate information
  • Maintaining accurate bank information, including bank name, bank address, routing numbers, and account numbers
  • Verifying routing and account information against source documents provided by its financial institution
  • Testing output before printing production checks
  • Verifying every printed check for accuracy, placement, legibility, and completeness
  • Reviewing MICR positioning, MICR character quality, and clear band requirements
  • Maintaining printer calibration and calibration profiles
  • Using compatible blank check stock, ink, toner, and printer hardware
  • Complying with applicable banking requirements, check standards, and financial institution instructions
  • Safeguarding license credentials, account credentials, blank check stock, and printed checks
  • Assigning appropriate user permissions and removing access promptly when no longer authorized
  • Using the Services only for lawful purposes and only for accounts it is authorized to use
  • Consulting qualified professionals when appropriate

The Customer is responsible for activity performed through its account unless caused directly by Diversified Check Studio's failure to apply commercially reasonable security measures.

6. Bank Information Certification

When adding or changing bank information, the submitting User may be required to certify:

"I certify that, to the best of my knowledge, the routing number and account information entered are accurate, and that I am authorized to use this bank account for check printing purposes."

The Customer must not enter, print, or use an account without proper authorization from the account holder.

Validation performed by the Services does not verify:

  • Account ownership
  • Account status
  • Available funds
  • Bank participation
  • Whether the account information belongs to the named person or business
  • Whether a financial institution will honor a printed check

7. Business Licenses and License Grant

Subject to these Terms and payment of applicable fees, Diversified Check Studio grants the Customer a limited, nonexclusive, nontransferable, revocable right to use the Services.

Licensed functionality is provided on a per-Business basis. Each Business requires an active Business License. Additional Business Licenses may be purchased to increase Business capacity, subject to the pricing displayed at the time of purchase.

License activation associates a license with the Customer account. Licenses are issued to the account and are not transferable to another account except with written consent.

The Customer is responsible for safeguarding license credentials and activation records and must not share, publish, resell, or sublicense them.

Diversified Check Studio may perform license verification at any time to confirm entitlement, prevent unauthorized use, and enforce these Terms.

8. Commercial License Types

The Services support the following commercial license types:

  • Standard
  • Nonprofit
  • Government
  • Educational Institution

Standard is the default commercial license type. Nonprofit, Government, and Educational Institution licenses are discounted commercial licenses available only to qualifying organizations.

Discounted commercial licenses require self-certification of eligibility at the time of purchase and may later require verification. The Customer must promptly notify Diversified Check Studio if its eligibility changes.

Failure to satisfy eligibility requirements, or refusal to provide reasonable verification, may result in:

  • Temporary suspension of the affected license
  • Revocation of the affected license
  • Conversion to Standard pricing
  • Refund reduction where permitted by law and the Refund Policy

Refund amounts, proration, and eligibility are governed by the Refund Policy and are not defined in these Terms.

9. Optional Purchases and Entitlements

The Business Asset Package and Lifetime Upgrade Protection are optional account-wide entitlements purchased once for the account rather than per Business.

The Business Asset Package provides the included asset library and related content as described at the time of purchase.

Lifetime Upgrade Protection provides the upgrade coverage described at the time of purchase for the Services as they are offered, and does not create an obligation to develop, release, or maintain any specific feature.

Optional entitlements are subject to these Terms, the Refund Policy, and the descriptions displayed during purchase.

10. Classroom Edition

A Classroom Edition is planned as a future offering and is described as Coming Soon. It is not currently available for purchase.

When offered, the Classroom Edition is expected to be:

  • Limited to educational use
  • Prohibited for commercial payment processing or issuing negotiable instruments
  • Permanently watermarked
  • Restricted to non-negotiable output

Nothing in this section constitutes an offer to sell, a commitment to release, or a guarantee of availability, pricing, or features.

11. Account Eligibility

A Customer must:

  • Be legally capable of entering a contract
  • Provide accurate registration information
  • Operate lawfully
  • Use the Services only for authorized purposes
  • Maintain a valid payment method where required
  • Cooperate with reasonable verification and security requests

Diversified Check Studio may reject or restrict an account where reasonably necessary for security, fraud prevention, legal compliance, protection of the Services, or enforcement of these Terms.

12. Authorized Users

The Customer controls which individuals may access its account and the permissions assigned to them.

The Customer is responsible for:

  • Inviting only authorized persons
  • Assigning least-necessary permissions
  • Reviewing role assignments
  • Protecting account and license credentials
  • Using available authentication controls
  • Reporting suspected compromise promptly

Credentials may not be shared among multiple individuals.

13. Purchases and Billing

Licenses, additional Business Licenses, and optional entitlements are billed through the payment method associated with the purchase.

Prices, included features, Business capacity, add-on charges, and any introductory pricing terms are displayed during purchase or in the applicable order information.

The Customer authorizes Diversified Check Studio and its payment processor to charge:

  • License fees
  • Additional Business License fees
  • Purchased add-ons and entitlements
  • Applicable taxes
  • Other authorized fees

Introductory or promotional pricing applies only as displayed at the time of purchase and does not create an obligation to offer the same pricing later or to other customers.

14. Refunds and Credits

Refunds, credits, cancellations, and charge disputes are governed by the Refund Policy.

Except where required by law or approved under the Refund Policy, fees are non-refundable.

Blank check stock, printer supplies, bank fees, government charges, penalties, and third-party costs are not Diversified Check Studio fees and remain the Customer's responsibility.

15. Acceptable Use

The Customer and Users must comply with the Acceptable Use Policy once published.

Even before separate publication, the Services may not be used to:

  • Violate law
  • Facilitate fraud, forgery, or counterfeiting
  • Print checks drawn on accounts the Customer is not authorized to use
  • Alter, imitate, or reproduce a check or instrument without authority
  • Misuse personal or financial information
  • Introduce malware
  • Circumvent security, licensing, activation, or verification controls
  • Probe or disrupt systems
  • Access another Customer's information
  • Misrepresent identity, authority, or eligibility for a discounted commercial license
  • Infringe intellectual-property rights
  • Harass or threaten others
  • Resell, rent, or provide unauthorized check printing bureau services
  • Reverse engineer protected portions of the Services except where law expressly prohibits restriction

16. Restricted Businesses and Activities

Diversified Check Studio may prohibit or restrict businesses and activities that create unacceptable legal, financial, security, reputational, or operational risk.

Restrictions may include illegal businesses, unlicensed regulated activities, fraudulent operations, deceptive financial services, unauthorized check printing bureaus, and businesses prohibited by applicable providers.

The existence of a business category in the software does not represent approval.

17. Intellectual Property

Diversified Check Studio and its licensors retain all rights in:

  • Software
  • Designs
  • Branding
  • Logos
  • Documentation
  • Built-in templates, layouts, and artwork, including materials provided through the Business Asset Package
  • Platform content
  • Databases
  • Workflows
  • Reports and formats not created solely from Customer Data
  • Improvements and derivative technology

The Customer receives a limited, nonexclusive, nontransferable, revocable right to use the Services during the authorized license period. No ownership rights are transferred.

Built-in artwork and asset library content may be used only within check designs produced by the Customer through the Services and may not be redistributed, resold, or used as standalone assets.

18. Customer Data and Uploaded Assets

As between Diversified Check Studio and the Customer, the Customer retains its rights in information, logos, signatures, and artwork submitted to the Services.

The Customer grants Diversified Check Studio the limited rights necessary to:

  • Host
  • Process
  • Copy
  • Transmit
  • Display
  • Render and generate check output from
  • Secure
  • Back up
  • Support

Customer Data for the purpose of providing and protecting the Services, complying with law, and enforcing agreements.

The Customer represents that it has lawful authority to provide and use Customer Data, including any signature image, logo, or artwork uploaded to the Services.

19. De-Identified and Aggregated Information

Diversified Check Studio may create and use aggregated or de-identified information that cannot reasonably be linked to a Customer or identifiable individual.

Such information may be used for:

  • Analytics
  • Security
  • Capacity planning
  • Product improvement
  • Benchmarking
  • Research
  • Business operations

Diversified Check Studio will not intentionally attempt to reidentify information maintained solely in de-identified form except for lawful validation of de-identification controls.

20. Third-Party Services

The Services may rely on or link to third-party providers, including:

  • Payment processors
  • Banks and financial institutions selected by Customers
  • Public routing directory reference sources
  • Printer manufacturers, drivers, and operating systems
  • Check stock and supply vendors
  • Authentication providers
  • Communication providers
  • Hosting and infrastructure providers

Third-party services are governed by their own terms and policies.

Diversified Check Studio is not responsible for third-party systems, outages, decisions, processing times, fees, or acts outside its reasonable control.

21. Availability and Changes

Diversified Check Studio may:

  • Maintain the Services
  • Install updates
  • Modify features
  • Correct errors
  • Add or remove integrations
  • Suspend functions for security or compliance
  • Change technical requirements, including supported browsers and printer requirements

Diversified Check Studio does not guarantee uninterrupted or error-free availability.

Where reasonably practical, advance notice may be provided for material planned changes.

22. Beta, Preview, and Test Features

Beta, demonstration, preview, experimental, sandbox, and test features may be incomplete, unavailable, inaccurate, or changed without notice.

They are provided for evaluation and may not be used for production check printing unless expressly authorized.

Test prints, alignment sheets, sample checks, and watermarked or non-negotiable output must not be issued, deposited, or presented as negotiable instruments.

23. Automated Processing

The Services use software automation to:

  • Compose MICR lines
  • Validate entered data
  • Generate print output and files
  • Prepare reports
  • Identify inconsistencies and readiness issues
  • Support fraud and security detection
  • Assist support and design workflows

Automation does not eliminate the Customer's duty to review and approve bank information, check layouts, MICR positioning, printed output, and other results before issuing checks.

24. Confidentiality

Each party must use reasonable care to protect confidential nonpublic information received from the other and use it only for authorized purposes.

Confidentiality obligations do not apply to information that:

  • Becomes public without breach
  • Was already lawfully known
  • Is independently developed
  • Is lawfully received without restriction
  • Must be disclosed by law

25. Security

Diversified Check Studio maintains safeguards designed to protect Customer Data.

The Customer acknowledges that no Internet-based service can guarantee absolute security.

The Customer must:

  • Protect account and license credentials
  • Maintain secure devices, printers, and networks
  • Authorize only necessary Users
  • Review permissions
  • Secure blank check stock and printed checks
  • Report suspected incidents promptly
  • Avoid transmitting sensitive data through unapproved channels

26. Suspension and Termination

Diversified Check Studio may suspend or terminate access, or suspend, revoke, or convert a license, when reasonably necessary because of:

  • Nonpayment
  • Fraud
  • Security risk
  • Unauthorized access
  • Failure to satisfy commercial license eligibility requirements
  • Violation of these Terms
  • Violation of law
  • Provider restrictions
  • Threats to the Services or others
  • Misrepresentation
  • Abusive conduct
  • Prohibited activity

Where appropriate, Diversified Check Studio may provide notice and an opportunity to cure.

Immediate action may be taken when delay could create harm or legal exposure.

27. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

DIVERSIFIED CHECK STUDIO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

DIVERSIFIED CHECK STUDIO DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE
  • EVERY OUTPUT, LAYOUT, OR MICR LINE WILL BE CORRECT WITHOUT CUSTOMER REVIEW AND TESTING
  • A FINANCIAL INSTITUTION WILL ACCEPT, PROCESS, OR HONOR A PRINTED CHECK
  • PRINTED OUTPUT WILL SATISFY EVERY BANK, SCANNER, OR EQUIPMENT REQUIREMENT
  • ROUTING DIRECTORY INFORMATION WILL BE COMPLETE OR CURRENT
  • THE SERVICES WILL SATISFY EVERY LEGAL REQUIREMENT APPLICABLE TO THE CUSTOMER
  • THIRD-PARTY SERVICES, PRINTERS, OR SUPPLIES WILL REMAIN AVAILABLE OR COMPATIBLE

Nothing in these Terms excludes warranties that cannot legally be excluded.

28. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIVERSIFIED CHECK STUDIO, DIVERSIFIED GLOBAL LLC, DIVERSIFIED COMPANY, AND DIVERSIFIED UNIVERSAL LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO DIVERSIFIED CHECK STUDIO FOR THE SERVICES DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitation does not apply where prohibited by law.

29. Customer Indemnification

The Customer will defend, indemnify, and hold harmless Diversified Check Studio, Diversified Global LLC, Diversified Company, Diversified Universal LLC, and their owners, officers, employees, and agents from third-party claims, losses, liabilities, penalties, costs, and reasonable legal fees arising from:

  • Customer Data, including uploaded logos, signatures, and artwork
  • Checks printed or issued through the Services
  • Unauthorized use of a bank account
  • Insufficient funds, returned checks, or stop payments
  • Inaccurate routing, account, or MICR information
  • Misrepresented eligibility for a discounted commercial license
  • Customer instructions
  • Customer violation of law
  • Customer breach of these Terms
  • Customer misuse of the Services
  • Customer infringement of third-party rights

This obligation does not apply to the extent a claim results directly from Diversified Check Studio's willful misconduct or gross negligence.

30. Governing Law and Venue

These Terms are governed by Indiana law, without regard to conflict-of-law rules, except where federal law or another jurisdiction's mandatory law applies.

Any court proceeding not subject to a separately agreed dispute-resolution process must be brought in a state or federal court with jurisdiction over Porter County, Indiana.

Each party consents to that jurisdiction and venue.

31. Notices

Diversified Check Studio may provide notices through:

  • The software
  • Email
  • The public website
  • Account contact information
  • Other reasonable electronic methods

The Customer is responsible for maintaining current contact information.

Legal notices to Diversified Check Studio must be sent to:

32. Changes to These Terms

Diversified Check Studio may revise these Terms to reflect changes in law, services, risk, technology, or business practices.

The Last Revised date and version number will be updated.

Material changes may be communicated through the website, the software, or account contact information.

Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.

33. General Provisions

These Terms and incorporated policies constitute the agreement concerning the Services unless a separate written agreement expressly controls.

If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain effective.

Failure to enforce a provision is not a waiver.

The Customer may not assign these Terms without written consent. Diversified Check Studio may assign them in connection with a reorganization, financing, sale, merger, or transfer of the Services.

Headings are for convenience only.

Electronic acceptance and records have the same effect as paper acceptance and records where permitted by law.
