License Agreement (EULA)

1. Agreement

This License Agreement governs your use of the Diversified Check Studio software. By purchasing, activating, or using a license, you agree to these terms.

This agreement supplements the Terms and Conditions. Where they conflict on licensing specifically, this agreement controls.

2. Definitions

• Software. The Diversified Check Studio browser-based application and any updates made available to you.
• Account. The customer workspace that holds businesses, users, licenses, and entitlements.
• Business License. A license that authorizes one business entity within an account to use licensed functionality.
• Entitlement. An account-wide addition such as the Business Asset Package or Lifetime Upgrade Protection.
• Personal account. A personal check configuration within an account, which does not consume a Business License.

3. Grant of License

Subject to payment and continued compliance with this agreement, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your own check design and check printing purposes.

The license is granted to the account. It is a license to use, not a sale of the Software.

4. Business Licenses

A Business License is required for each business entity for which you produce business checks.

Additional Business Licenses may be purchased to add capacity to an account. Capacity is account-wide and may be assigned to any business within the account.

Personal check accounts, designs, and printing are unlimited and do not consume Business License capacity.

5. Commercial License Types

Licenses are issued as Standard, Nonprofit, Government, or Educational Institution. Discounted types require accurate self-certification and remain subject to verification, suspension, revocation, or conversion as described in the Refund Policy.

6. Account-Wide Entitlements

The Business Asset Package and Lifetime Upgrade Protection are account-wide entitlements purchased once per account. They apply to every business in the account and are not sold per business.

Premium designs included with the Business Asset Package are licensed for your own check production. They may not be redistributed, resold, sublicensed, or provided as a design service to third parties.

7. License Keys and Activation

A license key may be issued and stored with your account. License keys are confidential. Revealing a stored key requires re-authentication and is recorded in the audit log.

Sharing, publishing, or transferring a license key is prohibited and may result in revocation.

8. Restrictions

You may not:

• Copy, modify, translate, or create derivative works of the Software.
• Reverse engineer, decompile, or disassemble the Software, except where that restriction is unenforceable by law.
• Rent, lease, lend, resell, host, or provide the Software as a service to third parties.
• Circumvent licensing, entitlement, authentication, or audit controls.
• Remove or obscure proprietary notices.
• Use the Software in violation of the Acceptable Use Policy.

9. Updates and Upgrades

We may release corrections, improvements, and new versions. Routine updates are applied to the hosted Software automatically.

Where a paid major version upgrade is offered, it is voluntary. Lifetime Upgrade Protection, where purchased, covers eligible version upgrades for the account.

We may modify, deprecate, or discontinue individual features. Where a change materially reduces core functionality, we will provide reasonable notice.

10. Your Content

You retain ownership of the businesses, bank information, designs, signatures, logos, and other content you provide. You grant us the limited rights necessary to host, process, and display that content in order to provide the Software.

You are responsible for having the right to use everything you upload, including signature images and logos.

11. Ownership

The Software, its interface, its templates, its documentation, its premium design assets, and all related intellectual property remain the property of Diversified Check Studio and its licensors. See the Intellectual Property Policy.

12. Customer Responsibilities

The Software produces documents. It does not verify accounts, authority, or funds. You are responsible for verifying bank information, completing calibration and test printing, securing printed output, and complying with law and with the requirements of your financial institution. See the Production Readiness Policy and the Check Printing Compliance Notice.

13. Fees and Refunds

Fees are payable at purchase. Refund treatment is governed entirely by the Refund Policy.

14. Term, Suspension, and Termination

This agreement takes effect on activation and continues until terminated.

We may suspend or terminate a license for material breach, including violation of the Acceptable Use Policy, non-payment, chargeback, fraud, or misrepresentation of license eligibility. Where practical and not harmful to others, we will provide notice and an opportunity to cure.

On termination, licensed functionality ends. Export tools and the wind-down period described in the Data Retention and Deletion Policy apply.

15. Warranty Disclaimer

THE SOFTWARE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that a check produced with the Software will be accepted, read, processed, or honored by any financial institution.

16. Limitation of Liability

The limitation of liability, indemnification, governing law, and dispute provisions of the Terms and Conditions apply to this agreement and are incorporated by reference.

17. Export and Government Use

You may not use or export the Software in violation of United States export laws or sanctions. If the Software is licensed by a United States government entity, it is provided as commercial computer software subject to the standard commercial terms of this agreement.

18. Changes to This Agreement

We may revise this agreement. The Last Revised date and version number will be updated, and continued use after the effective date constitutes acceptance where permitted by law.
